中船集團擬2億元增持中國重工
中國重工(gong)(gong)11月4日(ri)(ri)晚(wan)公(gong)(gong)告(gao),當日(ri)(ri)控股(gu)(gu)(gu)股(gu)(gu)(gu)東中國船(chuan)(chuan)舶(bo)重工(gong)(gong)集團(tuan)(tuan)有限公(gong)(gong)司(簡稱“中船(chuan)(chuan)重工(gong)(gong)”)之一致行動人中國船(chuan)(chuan)舶(bo)工(gong)(gong)業(ye)集團(tuan)(tuan)有限公(gong)(gong)司(簡稱“中船(chuan)(chuan)集團(tuan)(tuan)”)通(tong)過(guo)上交所集中競價交易系統以自有資金(jin)增(zeng)持公(gong)(gong)司股(gu)(gu)(gu)份1925.63萬股(gu)(gu)(gu),對(dui)應增(zeng)持金(jin)額(e)8086.49萬元,并計劃在未來6個月內繼續(xu)增(zeng)持公(gong)(gong)司股(gu)(gu)(gu)份,累(lei)計增(zeng)持總金(jin)額(e)不少于人民幣2億元(含本次已增(zeng)持金(jin)額(e))。
2019年7月,“兩船(chuan)”合(he)并啟動(dong);2019年10月25日(ri),經國務(wu)院批準,“南船(chuan)”中船(chuan)集團與“北船(chuan)”中船(chuan)重工實施(shi)聯合(he)重組,新設中國船(chuan)舶集團有限(xian)公(gong)司;2019年11月26日(ri),中國船(chuan)舶集團有限(xian)公(gong)司在北京揭(jie)牌。本次增持是中船(chuan)集團首(shou)次以一致行(xing)動(dong)人的身份出現在中國重工的股東行(xing)列。
中(zhong)(zhong)(zhong)國重(zhong)工公告,本(ben)次(ci)(ci)增持(chi)(chi)前(qian),中(zhong)(zhong)(zhong)船(chuan)集團未持(chi)(chi)有公司股(gu)(gu)(gu)(gu)份;中(zhong)(zhong)(zhong)船(chuan)重(zhong)工直(zhi)(zhi)接持(chi)(chi)有公司股(gu)(gu)(gu)(gu)份81.46億股(gu)(gu)(gu)(gu),占(zhan)比35.73%;中(zhong)(zhong)(zhong)船(chuan)重(zhong)工及其一(yi)致行動(dong)人(ren)共同(tong)持(chi)(chi)有公司股(gu)(gu)(gu)(gu)份145.21億股(gu)(gu)(gu)(gu),占(zhan)比63.68%。本(ben)次(ci)(ci)增持(chi)(chi)后,中(zhong)(zhong)(zhong)船(chuan)集團直(zhi)(zhi)接持(chi)(chi)有公司股(gu)(gu)(gu)(gu)份0.19億股(gu)(gu)(gu)(gu),占(zhan)比0.08%;中(zhong)(zhong)(zhong)船(chuan)重(zhong)工及其一(yi)致行動(dong)人(ren)共同(tong)持(chi)(chi)有公司股(gu)(gu)(gu)(gu)份145.40億股(gu)(gu)(gu)(gu),占(zhan)比63.77%。
中國(guo)重(zhong)工(gong)稱,基于對公(gong)司投資(zi)價值的認可及對未來發(fa)展前(qian)景(jing)的信心,中船集(ji)團(tuan)計(ji)劃(hua)自本公(gong)告披露之日起6個月內,通過上交所(suo)集(ji)中競價交易系統繼續擇機增持(chi)(chi)公(gong)司股(gu)份,累計(ji)增持(chi)(chi)總(zong)金(jin)(jin)(jin)額(e)不(bu)少于人(ren)民(min)幣2億元(含本次(ci)已(yi)增持(chi)(chi)金(jin)(jin)(jin)額(e))。本次(ci)增持(chi)(chi)股(gu)份計(ji)劃(hua)不(bu)設定價格區間,中船集(ji)團(tuan)將(jiang)根據公(gong)司股(gu)票價格情況及市場整體(ti)趨勢逐步實施(shi)增持(chi)(chi)。中船集(ji)團(tuan)本次(ci)增持(chi)(chi)以及后續增持(chi)(chi)計(ji)劃(hua)的資(zi)金(jin)(jin)(jin)來源(yuan)全部(bu)為(wei)其(qi)自有資(zi)金(jin)(jin)(jin)。
中國(guo)重(zhong)工(gong)為(wei)“北(bei)船(chuan)”中船(chuan)重(zhong)工(gong)旗下全產業鏈的艦船(chuan)研發設計(ji)制(zhi)造上市公(gong)司。2018年8月(yue)8日至2019年6月(yue)5日,中國(guo)重(zhong)工(gong)控股(gu)(gu)(gu)股(gu)(gu)(gu)東中船(chuan)重(zhong)工(gong)耗資13.48億元增(zeng)持公(gong)司股(gu)(gu)(gu)份3.25億股(gu)(gu)(gu),占總股(gu)(gu)(gu)本的1.42%。
分析人士(shi)稱,“兩船”合并以來,涉及“兩船”旗下(xia)上市公司的重組(zu)(zu)或整(zheng)合尚(shang)未(wei)見啟動,本(ben)次增持或是為后續兩船上市公司層面(mian)的重組(zu)(zu)鋪路之舉。
